‍1. Acceptance of Terms  By downloading, accessing, or using Insta-Inspect (the “App”), you (“User,” “you”) agree to be bound by these Terms of Service (“Terms”), our [Privacy Policy] (#privacy-policy), and all applicable laws. IF YOU DO NOT AGREE, DO NOT USE THE APP.

‍2. Description of Service  Insta-Inspect enables authorized personnel to submit photos, videos, and text descriptions of warehouse conditions to identify and track minor maintenance, instances of damage, housekeeping, or safety issues for prompt plan of action.  IMPORTANT: Insta-Inspect does not replace mandatory annual in-person inspections, regulatory audits, or professional safety assessments.

‍3. Eligibility  You must:  - Be at least 18 years old (or the age of majority in your jurisdiction).  - Be an employee, contractor, or authorized agent of a participating warehouse/facility (“Facility”).  - Use only company-issued credentials to access Insta-Inspect.

‍4. User Account & Security  - You are responsible for maintaining the confidentiality of your login credentials.  - Notify us immediately of any unauthorized use at [info@insta-inspect.com].  - We reserve the right to suspend or terminate accounts for violation of these Terms.

‍5. User Submissions  

5.1 License Grant  By uploading content (“Submissions”), you grant us and the Facility a worldwide, royalty-free, perpetual, irrevocable license to:  - Use, store, display, and distribute Submissions solely for maintenance, safety, and audit purposes.  - Create anonymized aggregated data for analytics (no PII).  

‍5.2 User Representations  You represent and warrant that:  - You have permission to photograph/video the area and any individuals shown.  - Submissions do not contain:    - Trade secrets or confidential information of third parties.    - Personally identifiable information (PII) unless authorized.    - Obscene, defamatory, or illegal content.  

‍5.3 Removal of Submissions  We may remove any Submission that violates these Terms or poses risk.

‍6. Prohibited Conduct  You agree not to:  - Submit false, misleading, or exaggerated reports.  - Use Insta-Inspect to harass, intimidate, or retaliate against others.  - Attempt to reverse-engineer, hack, or interfere with the App.  - Use Submissions for any purpose outside warehouse safety/maintenance.

‍7. No Substitution for Professional Inspections  INSTA-INSPECT IS A SUPPLEMENTAL REPORTING TOOL ONLY.  You acknowledge that:  - It does not fulfill legal or regulatory inspection requirements.  - Facility management remains responsible for all safety compliance.  - We are not liable for any failure to act on Submissions.

‍8. Privacy & Data  Your use is governed by our [Privacy Policy] (linked below), which details:  - Collection of geolocation, timestamps, and device metadata.  - Sharing of Submissions with Facility safety teams and authorized vendors.  - Compliance with GDPR, CCPA.  

‍9. Intellectual Property  - Insta-Inspect, its design, and software are owned by 1 Stop Material Handling and protected by copyright, trademark, and trade secret laws.  - You may not copy, modify, or create derivative works.

‍10. Disclaimer of Warranties  INSTA-INSPECT IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, INCLUDING:  - ACCURACY OF SUBMISSIONS  - TIMELY RESPONSE TO REPORTS  - FITNESS FOR A PARTICULAR PURPOSE  

‍11. Limitation of Liability  TO THE MAXIMUM EXTENT PERMITTED BY LAW:  - WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.  - OUR TOTAL LIABILITY SHALL NOT EXCEED $100 USD.  - WE ARE NOT RESPONSIBLE FOR FACILITY RESPONSE (OR LACK THEREOF) TO SUBMISSIONS AND REPORTS/RECOMMENDATIONS.-IF ACTIONS ARE NOT TAKEN BASED ON OUR RECOMMENDATIONS AND AN INCIDENT OR COLLAPSE OCCURS WE ARE NOT RESPONSIBLE NOR LIABLE.

‍12. Indemnification  You agree to indemnify and hold harmless 1 Stop Material Handling, its affiliates, and personnel from any claims arising from:  - Your Submissions (including privacy or right-of-publicity violations).  - Your misuse of Insta-Inspect.  - Your breach of these Terms.

‍13. Termination  - We may terminate or suspend your access immediately, without notice, for any violation.  - Upon termination, your Submissions may remain in the Facility’s records for compliance purposes.

‍14. Governing Law & Dispute Resolution  - Governing Law: Laws of the State of Florida, excluding conflicts of law.  - Arbitration: Any dispute shall be resolved by binding arbitration in Sarasota, FL under AAA rules (except for injunctive relief).

‍15. Changes to Terms  We may update these Terms. Continued use after changes constitutes acceptance. Material changes will be notified via in-app notice or email.
